2Purpose

These Terms and Conditions govern access to, browsing of, and use of Kawa, as well as the contractual relationship between the user and the Provider.

Access to or use of the Platform implies express, full, and unreserved acceptance of these terms.

3Service description

Kawa is a SaaS solution focused on operational management and decision-making, allowing:

  • ·Event registration.
  • ·Management of decisions, actions, and risks.
  • ·Capture and storage of information.
  • ·Processing through artificial intelligence.
  • ·Integration with third-party services.
  • ·Use in individual and collaborative environments.

The Provider reserves the right to modify, update, suspend, or remove features at any time, without this generating any right to compensation.

4Registration and account

The user must:

  • ·Provide truthful information.
  • ·Keep their credentials confidential.
  • ·Report unauthorized access.

The user is responsible for all activity carried out through their account.

5Permitted use

The user agrees to:

  • ·Use the Platform in accordance with the law.
  • ·Not upload unlawful or unauthorized content.
  • ·Not infringe third-party rights.
  • ·Not interfere with the system.

The Provider may suspend or cancel access in case of breach.

6User content

The user:

  • ·Retains ownership of their data.
  • ·Is solely responsible for the content entered.
  • ·Guarantees that they have a legal basis to process third-party data.

The Provider does not supervise or validate content and assumes no responsibility for it.

7Artificial intelligence

The user acknowledges that:

The Platform may include features based on artificial intelligence.

  • ·Results may be incomplete, inaccurate, or outdated.
  • ·They do not replace professional analysis.
  • ·They must be verified before use.

Use of these features is under the sole responsibility of the user.

8Multi-user environments

In team accounts:

  • ·Data may be accessible by authorized users.
  • ·Administrators may manage access.

The Provider will not be responsible for misuse by third parties within the same environment.

9Third-party integrations

The use of external integrations:

  • ·Is subject to the terms of those providers.
  • ·May involve data transmission.

The Provider does not guarantee the availability or operation of such services.

10Service availability

The Provider does not guarantee:

The service is provided on a best-effort basis.

  • ·Uninterrupted availability.
  • ·Absence of errors.
  • ·Fault-free operation.

Interruptions may occur due to maintenance, improvements, or external causes.

11Disclaimer of warranties (“as is”)

To the maximum extent permitted by law, the Provider disclaims any express or implied warranty, including:

The Platform is provided “as is” and “as available”.

  • ·Fitness for a particular purpose.
  • ·Accuracy or reliability of results.
  • ·Continuity of the service.
  • ·Absence of errors or vulnerabilities.

The user assumes the risk arising from use of the Platform.

12Limitation of liability

To the maximum extent permitted by applicable law:

12.1 Exclusion of indirect damages: the Provider will not be liable for loss of profits, loss of revenue, reputational damage, loss of data (except in cases of willful misconduct), business interruption, or indirect or consequential damages. 12.2 Liability for AI and decisions: the Provider will not be liable for decisions made by the user, actions based on AI-generated results, or incorrect interpretations of information. 12.3 Quantitative limitation: the Provider’s total aggregate liability, for any reason, will be limited to the amount effectively paid by the user during the six (6) months prior to the event giving rise to the claim. 12.4 Exclusions (carve-outs): nothing in these terms limits liability in cases of willful misconduct or fraud, serious intentional breach, or legal obligations that cannot be limited by law.

13Intellectual property

The user is granted a license that is:

All rights over the Platform belong to the Provider.

Copying, modifying, reusing, or decompiling the Platform is prohibited.

14Plans, billing, and renewal

For paid plans:

The Platform may offer free and paid plans.

  • ·The user authorizes recurring charges.

Unless legally required otherwise, refunds will not be issued. The Provider may modify prices with prior notice.

15Economic balance and regulatory changes

If any of the following:

  • ·Substantial increases in third-party costs.

In case of disagreement, the user may terminate the contract without penalty.

16Suspension and termination

The Provider may suspend or terminate access:

After termination, access will be revoked and data will be handled in accordance with the Privacy Policy.

17Data protection

The processing of personal data is governed by the Privacy Policy.

18Changes

The Provider may modify these terms at any time.

Continued use implies acceptance of the new terms.

19Governing law and jurisdiction

These terms are governed by Spanish law.

For any dispute, the parties expressly submit to the Courts of Madrid (Spain), waiving any other jurisdiction that may apply.
